The subcontractor defends, compensates, protects and damages premium, the client and each of its senior managers, Employees and Enforcement assistants before and against all losses, claims, legal fees, costs, damages, judgments, commitments, means, obligations or actions resulting from (1) negligence or omission or intentional misconduct on the part of subcontractors, staff or subcontractors , (2) , or (3) any allegation that the intellectual property provided by the subcontractor under this agreement, the intellectual property rights of third parties are violated or abused. The subcontractor may not contract either in full or in part the services authorized by a mission mandate without Prime`s prior written consent. If Prime Contracts accepts the allocation of part of the work to be performed as part of a mission assignment, the subcontractor must first obtain from any subcontractor an identical written agreement or similar to the following sections of this agreement: inter-clients, exclusivity, intellectual property rights, confidentiality, conflicts of interest, subcontracting, guarantees, compensation, limitation of liability, insurance and other collection provisions. The subcontractor has been identified by Prime as a potential subcontractor, as it has certain knowledge and skills that may be required in connection with such contracts; and subcontractors do not include third-party material, including open source or freeware, in a delivery, unless , i) subcontractors clearly identify the specific elements of the delivery element containing third-party items in the applicable order of mission; (ii) subcontractors identify the corresponding third-party licenses and any restrictions on their use in the decision of existing tasks, and (ii) the authorization is supported by a mission signed (or other written agreement) by Prime. The subcontractor ensures, guarantees and commits that the subcontractor complies with all third-party licenses (including all open source licenses) related to software components contained in the delivery components or other materials provided by the subcontractor.
